These Terms and Conditions (“Terms”) govern your use of https://www.deeringindustries.com (the “Site”) and any purchase you make from Deering Industries (“we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms.
1. Eligibility
You must be at least 18 years old to place an order, or have the involvement of a parent or guardian who is. By placing an order you represent that you meet this requirement.
2. Account Responsibility
If you create an account, you are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.
3. Products and Availability
We make reasonable efforts to display product information, photos, dimensions, and specifications accurately. However, photos may not exactly match the item, and specifications may change without notice. All sales are subject to availability; if an item becomes unavailable after you order, we will notify you and either ship a substitute (with your approval) or refund you in full.
4. Pricing, Taxes, and Errors
Prices are shown in US dollars and exclude applicable sales tax, which is calculated at checkout based on your shipping address. We reserve the right to correct any pricing or product-description errors. If we discover a material error after you place an order, we will notify you and give you the option to cancel.
5. Order Acceptance
Submission of an order is an offer to purchase. We reserve the right to accept or decline any order. Our acceptance occurs when we charge your payment method and ship the order. If we cannot fulfill an order, we will refund any payment in full.
6. Shipping and Returns
Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Refund and Returns Policy. Both are incorporated into these Terms by reference.
7. Intended Use
Our products are designed for the applications described on the Site. Many products are aftermarket performance parts intended for off-road, racing, or specialty applications. You are responsible for selecting parts appropriate for your application and for proper installation by a qualified person. Installation in a vehicle, aircraft, or other application not designed for the part can be unsafe and may void warranties or violate regulations.
8. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN A SPECIFIC PRODUCT’S LISTING, DEERING INDUSTRIES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS OR THE SITE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PRODUCTS ARE SOLD “AS IS.” Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEERING INDUSTRIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, PROPERTY DAMAGE, OR PERSONAL INJURY — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR A PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Deering Industries, its officers, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of a product, your violation of these Terms, or your violation of any applicable law.
11. Intellectual Property
All content on the Site — text, graphics, photos, logos, page layouts — is owned by Deering Industries or our licensors and is protected by copyright and trademark law. You may not copy, reproduce, or use any of this content for commercial purposes without our prior written permission.
12. Prohibited Conduct
You may not use the Site to: (a) attempt to gain unauthorized access to any system or account; (b) interfere with the operation of the Site through bots, denial-of-service traffic, or other technical means; (c) submit fraudulent orders or use stolen payment information; (d) scrape product catalog data without permission; or (e) violate any applicable law.
13. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
14. Changes to These Terms
We may update these Terms from time to time. The “Effective Date” at the top will reflect the latest version. Material changes will be highlighted at the top of this page for at least 30 days after they take effect. Continued use of the Site after a change constitutes acceptance of the updated Terms.
